How we advised the trustees of a family business on an EOT transition

The Challenge

A long-established, family-owned business wanted to secure its long term future, protect its employees, and provide a fair exit route for its shareholders. The owners decided that transitioning to an Employee Ownership Trust (EOT) was the right fit, but the process involved complex structuring and corporate considerations, as well as a tight timetable to complete before the Autumn budget statement.

The trustees needed truly independent legal advice in connection with the acquisition. Their role required them to understand the transaction structure, their duties, the funding mechanics and the risks involved  while ensuring the deal remained compliant, fair and in the best interests of employees. The outcome

The transaction completed successfully within the tight timeframes- all before the changes to the CGT relief. The EOT acquired 100% of the company on terms the trustees were satisfied were fair and in the best interests of employees. The structure now provides long-term stability for the workforce, continuity for the business, and a tax-efficient succession route for the exiting shareholders, all underpinned by fully informed trustee decision-making.
