The Challenge
A client in the education sector sought to implement an Enterprise Management Incentive (EMI) scheme to support employee retention and align performance with long-term growth. However, on initial review, we identified that the company’s share capital structure was incorrect. Before implementing the EMI scheme, the cap table needed to be rectified to ensure accuracy and compliance.

Our corporate team worked closely with RMT and the client to first undertake a full cap table tidy-up, resolving historical discrepancies and ensuring the share structure was legally sound. Once this was complete, we designed and implemented a tailored EMI scheme, including bespoke provisions around performance and vesting to align with the company’s commercial objectives.
